Board Member Roles and Responsibilities

  1. Officers of CVA. The primary Officers shall be the President, Vice President, Secretary, Treasurer, Information and Technology Director, and Membership Director. Other tasks the Board determines are necessary will be assigned based on the interests and abilities of Board members, their willingness to oversee a key area of CVA business, and be ratified by the majority of the CVA Board. 

  2. Assistant Positions. The Board may appoint such assistant positions as may be required in key areas of CVA business, including but not limited to office manager, assistant secretary, assistant treasurer, and managing editor of the CVA Journal. Each Assistant position will have written job descriptions and appropriate compensation to be approved by the Board.          

  3. Oversight of Assistants: Assistant positions would be as follows: assistant secretary and/or office manager would be overseen by CVA Secretary. Assistant treasurer and/or bookkeeper would be overseen by CVA Treasurer. CVA Journal editor would be overseen by the President, Vice President or by another Board member assigned by the President.     

  4. Roles and Responsibilities. With each incoming Board, roles and responsibilities will be clarified and documented in written form in the approved Minutes of the Board meeting at which they were approved, to be kept with the CVA records by the Secretary. 

  5. Board Member Job Descriptions.

a. CVA President: CVA President shall, subject to the control of the Board, have general supervisory direction of the business affairs of the CVA. The President shall work with the Board and others to develop and maintain the vision and mission of the CVA. The President shall preside at all meetings of the Board. He or she shall be an ex-officio member of all standing committees, if any. The President shall have such other powers and duties as may be prescribed by the Board and the CVA Bylaws.

b. CVA Vice President: CVA Vice President shall perform those tasks within the CVA organization as assigned by the President. He or she will chair Board meetings in the absence of the President, and will assume an Acting President role, carrying out the responsibilities of President, in the case of the President’s departure from the CVA due to illness, resignation or other permanent absence.

c. CVA Secretary: The Secretary will perform the following activities on behalf of the CVA or delegate them, as needed, to an Assistant Secretary.

i. The Secretary shall oversee the taking of minutes of the meetings of the Board and keep these records up to date on paper and/or computer files intended for that purpose. 

ii. The Secretary will keep updated copies of CVA Articles of Incorporation and CVA Bylaws accessible to any Board member or general CVA member who would like to review them.

iii. The Secretary will keep record of policies and procedures, and other organizational documents as recommended by the Board.

iv. The Secretary will see that all notices are given in accordance with the provisions of the CVA Bylaws or as required by law. 

v. The Secretary will keep the register of the current mailing address, e-mail address and phone numbers for each member of the Board. 

vi. The Secretary will work with the membership committee chair and Treasurer to maintain computer files of the contact information for all CVA members, using the CVA’s computerized membership platform.

vii. The Secretary will perform other duties as may  be assigned to him or her by the President or Board.

d. CVA Treasurer: The CVA Treasurer will perform the following actions or see them performed by Assistant Treasurer (if any).

i. The Treasurer shall be responsible for all funds and securities of the CVA and deposit all such funds in the name of the CVA in such banks, trust companies or other depositories as shall be selected by the Board. 

ii. The Treasurer will receive and provide receipts for all monies paid to the CVA from any source. 

iii. The Treasurer will disperse or caused to be dispersed the funds of the CVA as may be directed by the Board, upon receipt of approved invoices for such disbursements. 

iv. The Treasurer will keep and maintain and collect records of all the CVA's business transactions. 

v. The Treasurer will provide at all reasonable times a detailed account and financial records to any Board member, or to his or her agent or attorney, on written request. 

vi. The Treasurer will provide a Balance Sheet and Profit and Loss reports at each Board meeting. 

vii. The Treasurer will prepare, or cause to be prepared, and certify, or cause be certified, the financial statements to be included in any required reports on an as needed basis. 

viii. The Treasurer will prepare, or cause to be prepared, the yearly filing of non-profit taxes for the IRS and the State of Arizona Annual Return.

ix. The Treasurer will perform such other duties as may be required by law, by the Articles of Incorporation, or by the CVA Bylaws, or which may be assigned to him or her by the Board.

e. Information and Technology Director (ITD)     

i. The ITD will oversee CVA information systems to ensure functionality for the needs of the organization.

ii. The ITD will work closely with the Membership Director to establish and maintain a membership data base and functional membership system that provides automatic reminders for dues renewal and other membership information to the CVA members.

iii. The ITD will oversee the CVA website to monitor and improve its function as a primary vehicle for information sharing within the CVA.

iv. The ITD will oversee all updates to the website.

v. The ITD will oversee or manage the technology needs for CVA programs and outreach.

f. Membership Director                    

i. The Membership Director will work closely with the Information and Technology to ensure the ongoing functionality of the computerized membership system.

ii. The Membership Director will keep current the records of CVA members.

iii. The Membership Director will provide and/or manage the regular communications with CVA members regarding CVA programs, elections, and certification exam dates. 

iv. The Membership Director will work closely with Board members to invite and encourage increased membership in the CVA by people interested in Vedic astrology as defined in “CVA Purposes” in these Bylaws.

v. A year in advance of the election in the four-year election cycle for CVA Board members, the Membership Director will lead the Board in a process to identify promising, interested candidates for the Board positions.
